3.1 Service Overview
EzAz operates an automation marketplace enabling:
- Publication and sale of Templates and Apps for automation platforms
- Formation of Creator teams for custom project delivery
- Community features including reviews, endorsements, and blog posts
- Escrow services for custom project payments
3.2 Supported Platforms
Our marketplace supports automations for platforms including but not limited to: HubSpot, Make, Zapier, Airtable, n8n, Relevance AI, and Apify. This list may change at our sole discretion.
3.3 No Warranty of Third-Party Platforms
We do not warrant the continued availability, functionality, or compatibility of any third-party automation platforms. Changes to third-party platforms may affect purchased Content.
4. User Eligibility and Account Requirements
4.1 Age and Capacity Requirements
- Creators: Must be at least 18 years old and have legal capacity to enter contracts
- Customers: Must be at least 16 years old, or 13-15 years old with verifiable parental consent
- Business Accounts: Must be duly authorized to bind the business entity
4.2 Account Registration and Verification
- You must provide accurate, current, and complete information
- Business users must provide valid VAT/tax registration details where applicable
- We reserve the right to verify account information and request documentation
- False information may result in immediate account termination
4.3 Account Security
- You are solely responsible for maintaining account confidentiality
- You must immediately notify us of any unauthorized access
- You are liable for all activities under your account
- Sharing account credentials is prohibited
4.4 Geographic Restrictions
While we operate globally, certain features may be restricted based on local laws. You are responsible for compliance with applicable local regulations.
5. Creator Terms and Obligations
5.1 Content Standards and Requirements
All Creator Content must:
- Be original work or properly licensed with documented rights
- Include accurate descriptions, documentation, and implementation instructions
- Comply with applicable laws and third-party platform terms
- Not contain malicious code, security vulnerabilities, or harmful elements
- Meet professional standards appropriate for commercial use
5.2 Intellectual Property Warranties
By publishing Content, Creators warrant that they:
- Own all necessary rights or have proper licenses
- Have authority to grant the licenses described herein
- Will not infringe any third-party Intellectual Property Rights
- Will indemnify EzAz against any infringement claims
5.3 Content Licensing to EzAz
Creators grant EzAz a worldwide, non-exclusive, royalty-free license to:
- Display, distribute, and market the Content
- Create derivative works for platform optimization
- Use Content in promotional materials
- Sublicense to Customers as per purchase terms
5.4 Creator Responsibilities
Creators must:
- Maintain and update Content as reasonably necessary
- Provide technical support to Customers for 90 days post-purchase
- Respond to Customer inquiries within 48 hours
- Comply with all tax obligations in their jurisdiction
- Maintain professional conduct in all platform interactions
5.5 Team Management
- Team managers are jointly and severally liable for team member conduct
- Teams must designate a primary contact for all communications
- Team changes must be approved by EzAz before project commencement
- Team dissolution during active projects may result in penalties
6. Customer Rights and Obligations
6.1 Purchase Terms
- All prices are in USD and include applicable taxes
- Payment is required before access to digital Content
- Purchases are personal licenses unless otherwise specified
- Commercial use may require separate licensing agreements
6.2 Consumer Rights (UK Customers)
Under the Consumer Rights Act 2015:
- Digital Content must be of satisfactory quality and fit for purpose
- You have rights to refunds if Content is faulty
- These rights are in addition to our standard refund policy
- Nothing in these Terms affects your statutory rights
6.3 Customer Obligations
Customers must:
- Use Content in accordance with licensing terms
- Not reverse engineer, modify, or redistribute Content
- Comply with third-party platform terms when implementing Templates
- Provide honest, constructive reviews based on actual use
7. Payment Terms and Financial Provisions
7.1 Platform Fees and Revenue Sharing
- EzAz charges 10% of gross transaction value as platform fee
- Creators receive 90% of net transaction value after processing fees
- Custom Services incur additional 2.5% transaction fee for escrow services
- All fees are exclusive of applicable taxes
7.2 Payment Processing
- Payments processed via Stripe in accordance with their terms
- Creator payments made monthly on the 1st of each month
- Minimum payout threshold: $20
- Payment delays may occur due to verification requirements or disputes
7.3 Taxes and VAT
- Sales tax (such as VAT) charged where applicable
- International customers responsible for local taxes
- Creators responsible for declaring income and paying applicable taxes
- Tax invoices provided for all transactions
7.4 Refund Policy
Digital Content (Templates, Apps, Bundles):
- No refunds after successful download or access provision
- Technical failure exception: 7-day refund window if technical issues prevent access
- Consumer rights: UK customers retain statutory rights under Consumer Rights Act 2015
- Dispute resolution: Contested refunds subject to evidence review
Custom Services:
- Milestone-based refunds for undelivered work
- Full refund (less 2.5% transaction fee) if team fails to commence work
- Escrow protection ensures payment only on satisfactory delivery
- Alternative team placement at no extra cost where possible
Processing:
- Refund requests via support system only
- Evidence of technical issues required
- Processing time: 5-10 business days
- Refunds to original payment method only
7.5 Disputed Transactions
- All disputes must be raised within 30 days of purchase
- Evidence and documentation required for all claims
- EzAz reserves right to make final determination on disputed refunds
- Chargeback abuse may result in account termination
8. Intellectual Property Protection
8.1 Platform IP Rights
EzAz retains all rights to:
- Platform design, functionality, and source code
- EzAz trademarks, logos, and branding
- Proprietary algorithms and recommendation systems
- User interface and experience elements
8.2 DMCA and IP Infringement Procedures
We comply with the Digital Millennium Copyright Act and provide the following process:
Reporting Infringement:
- Submit written notice to: legal@ezaz.io
- Include: identification of copyrighted work, infringing material location, contact information, good faith statement, and electronic signature
- We will investigate and remove infringing content within 48-72 hours
Counter-Notice Process:
- Content creators may submit counter-notices if they believe removal was improper
- Reinstatement occurs 10-14 business days after valid counter-notice
- Repeat infringers face permanent account suspension
8.3 Trademark Protection
- Users may not use EzAz trademarks without written permission
- Third-party trademark infringement will result in content removal
- Brand protection measures include automated detection systems
9. Platform Rules and Prohibited Conduct
9.1 Prohibited Content
Users may not upload, publish, or distribute Content that:
- Violates any applicable law or regulation
- Infringes third-party Intellectual Property Rights
- Contains malware, viruses, or security exploits
- Promotes illegal activities or harmful conduct
- Violates third-party platform terms of service
- Is defamatory, harassing, or discriminatory
- Contains adult content or inappropriate material
9.2 Prohibited Activities
Users are prohibited from:
- Creating multiple accounts to circumvent restrictions
- Manipulating reviews, ratings, or search rankings
- Engaging in fraudulent or deceptive practices
- Attempting to bypass payment systems
- Scraping or harvesting platform data
- Reverse engineering platform functionality
- Spamming or sending unsolicited communications
9.3 Enforcement Actions
Violations may result in:
- Content removal without notice
- Account suspension or termination
- Forfeiture of outstanding payments
- Legal action for damages
- Reporting to relevant authorities
10. Content Moderation and Community Standards
10.1 Moderation Process
- All Content subject to automated and manual review
- Blog posts require admin approval before publication
- User reports investigated within 48 hours
- Appeals process available for content decisions
10.2 Community Guidelines
Users must:
- Maintain respectful, professional communication
- Provide constructive, honest feedback
- Report violations through proper channels
- Respect other users' privacy and rights
10.3 Review and Rating System
- Reviews must be based on actual product experience
- Fake or manipulated reviews prohibited
- Voting manipulation may result in penalties
- Review disputes handled through moderation process
11. Limitation of Liability and Disclaimers

- WE DO NOT WARRANT THE EFFECTIVENESS OR RESULTS OF CREATOR CONTENT
- USERS ASSUME ALL RISKS ASSOCIATED WITH CONTENT USE

- We do not endorse or warrant Creator Content
- Creators are solely responsible for their Content accuracy and legality
- Customer-Creator disputes are not our responsibility
- Third-party platform compatibility not guaranteed
11.4 Consumer Rights Preservation
Nothing in this section excludes or limits liability for:
- Death or personal injury caused by negligence
- Fraud or fraudulent misrepresentation
- Breach of statutory consumer rights
- Any other liability that cannot be legally excluded
12. Indemnification
12.1 User Indemnification
You agree to indemnify, defend, and hold harmless EzAz, its officers, directors, employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:
- Your use of the Platform
- Your violation of these Terms
- Your violation of any third-party rights
- Your Content or activities on the Platform
- Any claims by third parties related to your Content
12.2 Creator-Specific Indemnification
Creators additionally indemnify EzAz against:
- Intellectual property infringement claims
- Content-related legal disputes
- Customer disputes and claims
- Tax and regulatory compliance issues
13. Dispute Resolution and Governing Law
13.1 Informal Resolution
Before initiating formal proceedings, parties must:
- Attempt good faith negotiations for 30 days
- Provide detailed description of dispute and proposed resolution
- Engage in mediation if negotiation fails
13.2 Jurisdiction and Governing Law
These Terms are governed by English law. All disputes subject to the exclusive jurisdiction of the courts of England and Wales.
13.3 Alternative Dispute Resolution
For consumer disputes under $10,000:
- Online dispute resolution available through EU ODR platform
- Independent mediation services may be utilized
- Small claims court procedures apply for UK consumers
13.4 Class Action Waiver
YOU AGREE TO RESOLVE DISPUTES INDIVIDUALLY AND WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTIONS OR COLLECTIVE PROCEEDINGS.
14. Force Majeure
We are not liable for delays or failures due to circumstances beyond our reasonable control, including:

15. Platform Availability and Modifications

- We target 99.5% uptime but do not guarantee availability
- Scheduled maintenance announced 48 hours in advance
- Emergency maintenance may occur without notice
- No compensation for downtime unless legally required
15.2 Service Modifications
We reserve the right to:
- Modify, suspend, or discontinue features
- Update technical requirements
- Change fee structures with 30 days' notice
- Alter terms and conditions as legally permitted
16. Account Termination
16.1 Termination by Users
- Users may close accounts via platform settings or support request
- Published Content remains available per licensing terms
- Outstanding financial obligations remain due
- Data deletion per Privacy Policy provisions
16.2 Termination by EzAz
We may terminate accounts for:
- Material breach of these Terms
- Illegal activities or content
- Fraudulent or deceptive conduct
- Repeated policy violations
- Abuse of other users or platform staff
16.3 Effect of Termination
Upon termination:
- Access to Platform immediately ceases
- Outstanding payments may be forfeited
- Content licensing continues per existing terms
